App Builder Terms of Use

This App Builder Service Addendum (this “Addendum”) is entered into by and between ZoomInfo Technologies LLC, or the applicable ZoomInfo affiliate identified in the agreement governing Customer’s access to ZoomInfo products and services (“ZoomInfo”), and the customer identified in that agreement (“Customer”).

This Addendum supplements the agreement between ZoomInfo and Customer governing Customer’s access to and use of ZoomInfo’s products and services (the “Agreement”). This Addendum applies automatically to Customer’s access to or use of the App Builder Service. Capitalized terms not defined in this Addendum have the meanings given in the Agreement.

If this Addendum conflicts with the Agreement, this Addendum controls solely with respect to the App Builder Service, Customer Content, Inputs, Outputs, and related use of artificial intelligence functionality. Except as expressly modified by this Addendum, the Agreement remains in full force and effect.

1. Definitions

“Authorized User” means an employee, contractor, or other personnel of Customer who is authorized by Customer to access and use the App Builder Service under the Agreement and this Addendum.

“App Builder Service” means ZoomInfo’s AI-enabled development, application-building, code-generation, software-development, and related functionality, including associated features, interfaces, documentation, APIs, software applications, and websites, whether made available as part of a ZoomInfo product or service or otherwise.

“Customer Content” means Inputs and Outputs.

“Input” means any prompt, query, instruction, code, data, file, attachment, content, information, or other material submitted, uploaded, transmitted, made available, or otherwise provided by or on behalf of Customer or an Authorized User to the App Builder Service.

“Output” means any code, text, image, data, content, response, suggestion, analysis, information, or other material generated or returned by the App Builder Service based on an Input.

“Third-Party AI Provider” means a third-party provider or model vendor whose artificial intelligence models, services, systems, APIs, tools, or functionality may be used, accessed, or integrated in connection with the App Builder Service.

2. License and Scope of Use

Subject to Customer’s compliance with this Addendum and the Agreement, ZoomInfo grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription term to permit its Authorized Users to access and use the App Builder Service solely for Customer’s internal business purposes and in accordance with the Agreement and this Addendum.

Customer may use the App Builder Service only as made available by ZoomInfo. No rights are granted except those expressly set forth in this Addendum.

3. Customer Responsibilities

Customer is responsible for:

a) all access to and use of the App Builder Service by Customer and its Authorized Users;

b) ensuring that each Authorized User complies with this Addendum and the Agreement;

c) complying with all applicable usage documentation, technical requirements, technical documentation, and Third-Party AI Provider requirements that ZoomInfo makes available to Customer in connection with the App Builder Service;

d) all Inputs and Customer Content;

e) evaluating all Outputs for accuracy, quality, security, legality, appropriateness, and fitness for Customer’s intended use before Customer or any Authorized User uses, deploys, publishes, shares, relies upon, or makes available any Output;

f) obtaining and maintaining all rights, permissions, notices, consents, and other legal bases necessary for Customer, ZoomInfo, and applicable Third-Party AI Providers to process Inputs and Customer Content as contemplated by this Addendum; and

g) the security of Customer’s systems, applications, accounts, environments, and transmission and protection of Customer Content outside the App Builder Service.

h) Customer will promptly notify ZoomInfo if Customer knows or reasonably suspects that: (a) an account used to access the App Builder Service has been compromised; or (b) Customer has experienced a security incident, malware infection, or malicious activity that may adversely affect the App Builder Service, ZoomInfo, or any Third-Party AI Provider.

4. Acceptable Use and Prohibited Activities

Customer will not, and will not permit any Authorized User or other person to, access or use the App Builder Service, Customer Content, or Output to:

a) violate applicable law, regulation, or third-party rights, including intellectual property, privacy, publicity, data-protection, export-control, sanctions, or consumer-protection rights or laws;

b) engage in fraud, deceptive practices, scams, impersonation, phishing, social engineering, or misrepresentation of authority or authorization to act on behalf of another person or entity;

c) create, promote, facilitate, sell, distribute, or otherwise enable illegal goods, services, activities, or transactions;

d) threaten, promote, incite, facilitate, or enable violence, terrorism, property destruction, self-harm, or other serious harm;

e) create, transmit, display, store, process, publish, distribute, or enable content or conduct that is unlawful, hateful, discriminatory, harassing, abusive, sexually exploitative, obscene, graphic, violent, or otherwise objectionable;

f) create, share, threaten to share, or facilitate nonconsensual intimate imagery, including synthetic media or deepfakes, or any child sexual abuse or exploitation material;

g) generate, send, or facilitate unsolicited bulk communications, spam, clickbait, click fraud, or deceptive advertising or marketing schemes;

h) infringe, misappropriate, violate, or attempt to circumvent the intellectual property rights, confidentiality rights, privacy rights, contractual rights, or other legal rights of any person or entity;

i) build, develop, train, improve, benchmark, validate, support, or make available a substantially similar or competing product, service, model, system, or functionality using the App Builder Service, Customer Content, Outputs, or any confidential information or non-public aspects of the App Builder Service;

j) train, fine-tune, develop, improve, or create a competing artificial intelligence model, including through synthetic-data generation, model extraction, distillation, reverse engineering, systematic prompting, or similar methods;

k) conduct model-extraction, model-stealing, inference, prompt-extraction, jailbreak, evasion, adversarial testing, or similar attacks against the App Builder Service, any model, or related systems, except to the extent expressly authorized in writing by ZoomInfo;

l) buy, sell, trade, gift, or transfer any third-party AI provider API keys from, to, or with any third party;

m) circumvent, disable, interfere with, avoid, remove, defeat, or otherwise bypass any rate limit, access control, safety measure, safeguard, security control, usage restriction, policy enforcement mechanism, metadata, digital signature, watermark, or other protective measure associated with the App Builder Service or any Output, including by using automated means or by creating or using multiple accounts to evade any rate limit, usage restriction, or access control;

n) scrape, crawl, harvest, extract, copy, proxy, index, cache, mine, monitor, republish, or otherwise collect data, content, outputs, model behavior, or information from the App Builder Service or underlying third-party models through automated means or otherwise, unless expressly authorized in writing by ZoomInfo;

o) engage in name-squatting or namespace-hoarding, including registering, reselling, bartering, trading, or passively holding for future use any namespace entities within the App Builder Service or any associated third-party namespaces;

p) use the App Builder Service as a proxy, virtual private network, hosting service, media-hosting service, or for hot-linking;

q) create an undue burden on, interfere with, disrupt, degrade, damage, or compromise the security, integrity, availability, or operation of the App Builder Service, ZoomInfo systems, Third-Party AI Provider systems, or the systems, networks, services, or data of any other person or entity;

r) gain or attempt to gain unauthorized access to the App Builder Service, associated accounts, systems, networks, data, models, APIs, or other resources;

s) reverse engineer, decompile, disassemble, decode, adapt, translate, or otherwise attempt to discover or derive the source code, object code, underlying components, model architecture, algorithms, ideas, know-how, or trade secrets of the App Builder Service, except to the limited extent prohibited by applicable law; provided that, if applicable law permits reverse engineering to obtain information necessary to achieve interoperability, Customer must first request that information from ZoomInfo in writing;

t) modify, create derivative works of, or otherwise alter the App Builder Service except as expressly authorized by ZoomInfo;

u) sublicense, resell, rent, lease, loan, transfer, assign, timeshare, commercially exploit, or otherwise make the App Builder Service available to any third party, except as expressly authorized in writing by ZoomInfo;

v) remove, alter, obscure, or modify proprietary-rights notices, copyright notices, attributions, source notices, or other notices appearing in or associated with the App Builder Service or its documentation;

w) represent that any Output is entirely human-generated without disclosing its reliance on artificial intelligence;

x) use the App Builder Service in connection with electoral campaigns, political persuasion, political advertising, political lobbying, voter targeting, or content intended to influence electoral processes;

y) use the App Builder Service for any high-risk use or practice prohibited under applicable artificial intelligence laws or regulations, including prohibited or high-risk practices under the European Union Artificial Intelligence Act where applicable;

z) develop or advance facial-recognition databases, identify individuals using facial recognition, or make inferences concerning a real person’s personal characteristics based on biometric data;

aa) develop, design, facilitate, or advance biological weapons, chemical weapons, weapons of mass destruction, or other prohibited weapons-related activities;

bb) use the App Builder Service for clinical practice, medical diagnosis, treatment decisions, or as a substitute for regulated professional advice, including legal, medical, financial, accounting, or other professional advice;

cc) operate an online service directed to children or process personal information of children under the applicable age of digital consent;

dd) include, submit, upload, transmit, process, or otherwise make available through the App Builder Service any:

i. protected health information, as defined by the Health Insurance Portability and Accountability Act;

ii. personal information of children under age 13, or under the applicable age of digital consent;

iii. government-issued identifiers;

iv. financial account numbers, payment-card information, or similar highly sensitive financial information;

v. information subject to the International Traffic in Arms Regulations;

vi. material or information requiring a government license for release, transfer, export, or re-export; or

vii. other sensitive personal information, unless ZoomInfo expressly authorizes the processing in writing; or

ee) use the App Builder Service in any manner that ZoomInfo reasonably determines is abusive, harmful, unlawful, fraudulent, deceptive, objectionable, or inconsistent with the intended operation or security of the App Builder Service.

5. Inputs, Outputs, and Human Review

Customer acknowledges and agrees that:

a) Outputs may be inaccurate, incomplete, insecure, nonfunctional, offensive, biased, unavailable, non-unique, or otherwise unsuitable for Customer’s intended use.

b) Outputs may contain errors, vulnerabilities, defects, malware, infringing content, third-party content, inaccurate factual assertions, or content that does not comply with applicable law.

c) Customer is solely responsible for independently reviewing, testing, validating, securing, and approving each Output before using, deploying, publishing, distributing, sharing, or relying on it.

d) Customer will use appropriate human oversight and review where legally required or otherwise appropriate based on the nature, context, and impact of Customer’s intended use.

e) The App Builder Service and Outputs are not professional advice and must not be relied upon as a substitute for advice from qualified professionals.

f) Due to the nature of artificial intelligence technologies, Outputs may not be unique, and the App Builder Service may generate the same or similar outputs for ZoomInfo, other customers, or third parties. Customer receives no rights in outputs generated for other users or in any third-party rights associated with an Output.

g) Customer is solely responsible for determining the legal status, intellectual property rights, commercial usability, and appropriateness of Outputs for Customer’s intended use.

6. Customer Content and Intellectual Property

6.1 Customer Content

As between ZoomInfo and Customer, and to the extent permitted by applicable law, Customer retains all right, title, and interest in and to Customer Content.

Customer grants ZoomInfo and its affiliates, contractors, subprocessors, and Third-Party AI Providers a non-exclusive, worldwide, royalty-free right to host, copy, process, transmit, display, use, and otherwise process Customer Content solely as necessary to:

a) provide, operate, maintain, secure, support, and improve the App Builder Service;

b) generate and provide Outputs;

c) investigate, prevent, and address fraud, abuse, security incidents, technical issues, and violations of this Addendum or the Agreement;

d) comply with applicable law, legal process, and governmental requests; and

e) enforce ZoomInfo’s rights and policies.

f) Customer represents and warrants that Customer has obtained all rights, permissions, consents, and legal bases necessary to provide Inputs and grant the foregoing rights.

6.2 Outputs

To the extent ZoomInfo has any right, title, or interest in an Output, ZoomInfo assigns that right, title, and interest to Customer. This assignment does not apply to: (a) the App Builder Service; (b) ZoomInfo materials, technology, models, tools, documentation, or intellectual property; (c) any third-party materials or rights; (d) Outputs generated for other users; or (e) any rights that cannot be assigned under applicable law.

6.3 ZoomInfo Rights

ZoomInfo and its licensors retain all right, title, and interest in and to the App Builder Service, including all software, models, algorithms, interfaces, documentation, modifications, updates, improvements, and derivative works, together with all related intellectual property rights. Except for the limited rights expressly granted in this Addendum, no license or other right is granted to Customer by implication, estoppel, or otherwise.

6.4 No Training Commitment

Except as otherwise agreed in writing by ZoomInfo, ZoomInfo will not use Customer Content to train ZoomInfo’s or its Third-Party AI Providers’ general-purpose artificial intelligence models.

Notwithstanding the foregoing, ZoomInfo may use Customer Content as necessary to provide, maintain, support, secure, and protect the App Builder Service; prevent abuse and fraud; enforce this Addendum; comply with law; and improve the App Builder Service through aggregated or de-identified information that does not identify Customer or any individual.

7. Third-Party Services, API Terms, and NLI

The App Builder Service may incorporate, interoperate with, or rely on Third-Party AI Providers, APIs, Marketplace integrations, community templates, and other third-party services. Customer acknowledges that Third-Party AI Providers may process Customer Content as necessary to provide the App Builder Service.

Customer’s use of any third-party service, integration, connected account, model, API, or Notices and License Information (NLI) is subject to the applicable third party’s terms, privacy notices, and policies. Customer must comply with all applicable terms of any Third-Party AI Provider or NLI disclosed or made available within the App Builder Service.

ZoomInfo is not responsible for third-party services, their availability, security, performance, outputs, data practices, or compliance with Customer’s requirements, nor for any disclosure, modification, or deletion of Customer Content resulting from third-party access. Customer will not cause ZoomInfo or any Third-Party AI Provider to violate applicable third-party terms, policies, licenses, or legal requirements.

8. Security; Customer Applications

If Customer uses the App Builder Service in connection with an application, product, service, website, or other offering made available to Customer’s personnel, customers, users, or other third parties (each, a “Customer Application”), Customer will:

a) be solely responsible for the Customer Application and all Customer Application data;

b) maintain appropriate administrative, technical, and organizational safeguards to protect Customer Application data from unauthorized access, use, loss, alteration, disclosure, or destruction;

c) ensure that the Customer Application does not introduce malware, malicious code, harmful content, or unauthorized access mechanisms into the App Builder Service;

d) ensure that Customer has all rights and permissions needed to make the Customer Application available and process any associated data;

e) provide end users of the Customer Application with legally compliant terms of use and a privacy notice that accurately describes the Customer Application’s collection, use, disclosure, retention, and other processing of personal information;

f) disclose clearly and in advance that the Customer Application uses artificial intelligence; and

g) respond to data-subject requests and other legal obligations relating to Customer Application data.

ZoomInfo will have no responsibility or liability under Customer’s end-user terms, privacy notice, Customer Application, or Customer’s relationship with any end user.

9. Disclaimers

THE APP BUILDER SERVICE, CUSTOMER CONTENT, AND OUTPUTS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZOOMINFO, ITS AFFILIATES, LICENSORS, AND THIRD-PARTY AI PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, ERROR-FREE OPERATION, QUIET ENJOYMENT, OR THAT THE APP BUILDER SERVICE OR OUTPUTS WILL MEET CUSTOMER’S REQUIREMENTS.

WITHOUT LIMITING THE FOREGOING, ZOOMINFO DOES NOT REPRESENT OR WARRANT THAT ANY OUTPUT WILL BE CORRECT, COMPLETE, UNIQUE, SECURE, AVAILABLE, LAWFUL, NON-INFRINGING, FREE OF MALWARE OR VULNERABILITIES, OR SUITABLE FOR CUSTOMER’S USE.

ANY SERVICE LEVEL AGREEMENT, SUPPORT COMMITMENT, WARRANTY, INDEMNITY, OR OTHER COMMITMENT IN THE AGREEMENT DOES NOT APPLY TO THE APP BUILDER SERVICE, INPUTS, OR OUTPUTS, EXCEPT TO THE EXTENT EXPRESSLY STATED IN THIS ADDENDUM OR AN ORDER FORM SIGNED BY ZOOMINFO.

10. Indemnification

Customer will defend, indemnify, and hold harmless ZoomInfo, its affiliates, licensors, Third-Party AI Providers, and their respective officers, directors, employees, contractors, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

a) Customer Content, including any Input;

b) Customer’s or an Authorized User’s use of the App Builder Service or any Output;

c) a Customer Application;

d) Customer’s breach of this Addendum or the Agreement;

e) Customer’s violation of applicable law, regulation, or third-party rights; or

f) Customer’s fraud, gross negligence, willful misconduct, or criminal acts.

Notwithstanding anything to the contrary in the Agreement, ZoomInfo has no obligation to indemnify Customer for claims arising from or related to Customer Content, Inputs, Outputs, third-party services, Third-Party AI Providers, or Customer’s use of the App Builder Service or Outputs, except to the extent expressly agreed in a writing signed by ZoomInfo.

11. Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS ADDENDUM OR THE AGREEMENT, THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET FORTH IN THIS SECTION DO NOT APPLY TO, AND CUSTOMER SHALL HAVE UNLIMITED LIABILITY FOR, ANY DIRECT OR INDIRECT DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING OUT OF OR RELATING TO:

  1. ANY BREACH BY CUSTOMER (OR ITS AUTHORIZED USERS) OF THIS ADDENDUM;

  2. CUSTOMER’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 10; OR

  3. CUSTOMER’S FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR CRIMINAL ACTS.

SUBJECT TO THE FOREGOING CARVE-OUTS AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZOOMINFO AND ITS AFFILIATES, LICENSORS, AND THIRD-PARTY AI PROVIDERS WILL NOT BE LIABLE FOR ANY:

  1. LOSS, INACCURACY, CORRUPTION, OR DELETION OF DATA;

  2. LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, OR BUSINESS OPPORTUNITY;

  3. COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY;

  4. INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; or

  5. DAMAGES ARISING OUT OF OR RELATING TO OUTPUTS, INCLUDING ANY USE, DEPLOYMENT, PUBLICATION, DISTRIBUTION, OR RELIANCE ON OUTPUTS.

WITHOUT LIMITING ANY EXCLUSION OR LIMITATION OF LIABILITY IN THE AGREEMENT, ZOOMINFO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP BUILDER SERVICE, CUSTOMER CONTENT, INPUTS, OR OUTPUTS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US$100); OR (B) THE FEES PAID BY CUSTOMER TO ZOOMINFO SPECIFICALLY FOR THE APP BUILDER SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Suspension and Termination

ZoomInfo may immediately suspend, restrict, or terminate Customer’s or any Authorized User’s access to the App Builder Service, in whole or in part, if ZoomInfo reasonably believes that:

a) Customer or an Authorized User has violated this Addendum, the Agreement, applicable law, or the rights of a third party;

b) Customer’s use presents a security risk, operational risk, risk of harm, legal risk, or risk of liability to ZoomInfo, a Third-Party AI Provider, the App Builder Service, or any third party;

c) Customer or an Authorized User has engaged in suspected fraud, abuse, illegal activity, or other prohibited conduct;

d) suspension or termination is required by law, court order, governmental authority, or applicable Third-Party AI Provider requirements; or

e) continued access would impair, disrupt, or impose an undue burden on the App Builder Service or related systems.

Where commercially reasonable and legally permitted, ZoomInfo may provide notice and an opportunity to cure before suspension or termination. ZoomInfo is not obligated to provide notice where immediate action is reasonably necessary.

Customer may not terminate the Agreement, an order form, or the App Builder Service for convenience, service-level failures, or chronic uptime failures solely as a result of the App Builder Service, unless ZoomInfo expressly agrees otherwise in writing.

Upon termination or expiration of Customer’s right to use the App Builder Service, Customer and its Authorized Users must cease using the App Builder Service. ZoomInfo may delete Customer Content in accordance with the Agreement, applicable law, and ZoomInfo’s data-retention practices. Subject to Customer’s compliance with this Addendum and applicable law, Customer may continue to use Outputs obtained before termination.

13. Trade Controls

Customer will comply with all applicable trade, sanctions, and export-control laws and regulations in connection with its access to and use of the App Builder Service, Customer Content, and Outputs.

Customer will not access or use the App Builder Service or Outputs in, from, for the benefit of, or on behalf of:

a) any country, territory, person, entity, or end user subject to comprehensive sanctions or embargoes under applicable trade laws; or

b) any person or entity with whom dealings are prohibited or restricted under applicable export-control or sanctions laws.

Customer will not use the App Builder Service or Outputs for any prohibited end use and will not provide Inputs containing material, software, technology, data, or information that requires a governmental license or other authorization for release, transfer, export, re-export, or disclosure, unless ZoomInfo has expressly agreed in writing and all required authorizations have been obtained.

14. Beta Features and Stealth Models

ZoomInfo may make pre-release, alpha, beta, preview, limited-release, pilot, early-access, evaluation, stealth, or similarly designated functionality available as part of the App Builder Service (“Beta Features” or “Stealth Models”).

Beta Features and Stealth Models are provided “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS.” Customer assumes all risk for its use of and interactions with Stealth Models. Standard content protections, warranties, indemnities, SLAs, and support do not apply to Beta Features or Stealth Models.

Customer shall not use Stealth Models or Beta Features to process personal data. Third-party providers of Stealth Models may use Inputs to train and improve their products and services and may hold intellectual property rights in associated Outputs that limit Customer’s rights. ZoomInfo may change, discontinue, or terminate Beta Features or Stealth Models at any time without notice.

15. Changes to this Addendum

ZoomInfo may update or modify this Addendum from time to time, including to reflect changes to the App Builder Service, for security or legal reasons, or to promote safety or prevent abuse, by posting a revised version or giving notice. Continued access to or use of the App Builder Service after such posting or notice constitutes Customer’s agreement to the updated Addendum. If Customer does not agree to the updated Addendum, Customer must immediately stop accessing and using the App Builder Service.

16. Survival

Sections 3 through 16, and any provisions that by their nature should survive, will survive expiration or termination of this Addendum.
