These ZoomInfo Champions Program Terms and Conditions (“Terms”) govern your participation in the ZoomInfo Champions Program (“ZCP”).
The ZCP is an exclusive group of ZoomInfo users who work closely with the ZoomInfo Product Team to share insights and feedback that effectively impact the ongoing evolution of ZoomInfo’s products.
PARTICIPATION IN THE ZCP IS VOLUNTARY AND BY SUBMITTING THIS FORM APPLICATION TO PARTICIPATE IN THE ZCP, THE INDIVIDUAL MAKING THIS SUBMISSION REPRESENTS THAT HE OR SHE HAS FULL AND LEGAL AUTHORITY TO AGREE TO THESE TERMS IN HIS OR HER CAPACITY AS AN EMPLOYEE OF HIS/HER EMPLOYER (THE “PARTICIPANT”) AND IS NOT BOUND TO ANY OTHER TERMS THAT WOULD PROHIBIT PARTICIPATION IN THE ZCP OR CONFLICT WITH THE TERMS STATED HEREIN. IF YOU DO NOT HAVE SUCH AUTHORITY OR DO NOT AGREE TO THESE TERMS, THEN YOU MUST NOT ACCEPT THESE TERMS AND CANNOT PARTICIPATE IN THE ZCP.
General Terms
ZCP Services
. As part of the ZCP, ZoomInfo may make certain products, features, services, and functionality available to the Participant (“
ZCP Services
”). It is understood and agreed that ZCP Services are: (i) subject to change or discontinuance; (ii) provided “as is” without any warranty, support, maintenance, or other obligation of any kind; and (iii) not part of ZoomInfo’s online services and applications for purposes of Participant’s employer’s agreement with ZoomInfo governing use of the ZoomInfo platform or related products and services. Any use of ZCP Services is at Participant’s sole risk and responsibility. ZoomInfo may terminate Participant’s access to and use of ZCP Services at any time.
Feedback and Media Release.
ZoomInfo may request that Participant provide feedback, suggestions, or opinions about the ZCP Services (“
Feedback
”), and Participant grants ZoomInfo a royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual license to use or incorporate into the ZCP Services any Feedback provided by Participant.
Terms of Use.
Participant further acknowledges and agrees that the ZCP Services constitute ZoomInfo Confidential Information and should be treated accordingly. Participant represents and warrants that it has the requisite power and authority to participate in the ZCP and entering and complying with the foregoing obligations does not violate any legal obligation by which Participant is bound. In no event shall ZoomInfo be liable for any damages whatsoever arising out of the use of or inability to use the ZCP Services, even if ZoomInfo has been advised of the possibility of such damages.
No Rights.
Participant will not earn or acquire any rights or licenses in the ZCP Services or in any ZoomInfo intellectual property rights on account of Participant’s participation or performance in the ZCP, even if ZoomInfo incorporates any Feedback into the ZCP Services.
Limitation of Liability.
EXCEPT AS OTHERWISE REQUIRED BY LAW, THE LIABILITY OF ZOOMINFO TO PARTICIPANT OR ANY THIRD PARTY ARISING OUT OF OR IN CONNECTION WITH ZCP OR THE USE OF THE ZCP SERVICES, OR FOR ANY ERROR OR DEFECT IN THE ZCP SERVICES, OR FOR THE PROVISION OF TECHNICAL SUPPORT INSTALLATION, TRAINING OR OTHER SERVICES IN CONNECTION THEREWITH, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, INCLUDING CONTRACT, STRICT LIABILITY, NEGLIGENCE OR OTHER TORT, SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED ANY FEES PAID TO ZOOMINFO HEREUNDER. IN NO EVENT WILL ZOOMINFO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, BUSINESS, REVENUE, DATA OR DATA USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS WILL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY. The limitations of liability set forth in these Terms reflect the allocation of risk negotiated and agreed to by the parties. These limitations will apply notwithstanding any failure of essential purpose of any limited remedy.
Use of Name.
Participant hereby authorizes ZoomInfo to use Participant name and title as well as its employer’s name and logo for its marketing efforts and to identify Participant as a member of the ZCP. Participant authorizes ZoomInfo to send Participant information related to the ZCP via electronic mail or otherwise.
Governing Law and Dispute Resolution.
This agreement shall be construed in accordance with and governed for all purposes by the laws of the State of Washington without regard to choice of laws principles. Each Party consents to personal jurisdiction in the state and federal courts located in the State of Washington for purposes of any lawsuit seeking to enforce this agreement.
No Compensation.
Participant understands and agrees that ZoomInfo is not obligated to publish anything about Participant, including Feedback and the information identified in Section 7 of these Terms and that if it does, Participant will not be receiving royalties from ZoomInfo nor is Participant entitled to compensation, remuneration, royalties, or any other payment from ZoomInfo regarding such information or related publication.
Complete Agreement.
These Terms constitute the entire agreement between the parties regarding the ZCP and supersedes any and all prior agreements, communications and understandings with respect to the ZCP.
