Vault Denim maintains an explicit right to insist on compliance with the Agreement. Failure by the Company to enforce compliance of any particular provision in any specific situation does not invalidate any other portion of the Agreement nor constitute a waiver of the Company's right to enforce compliance with any terms of the Agreement. Likewise,... no custom or practice of the parties at variance with the terms of the Agreement shall constitute a waiver of the Company's right to demand exact compliance with the Agreement. The existence of any claim or cause of action of a VFC against the Company shall not constitute a defense to the Company's enforcement of any term or provision of the Agreement. A waiver by Vault Denim is only valid if delivered in writing by an Authorized Representative of the Company and applies only to the specific instance or occurrence at hand, at the time.
