Bong AB (publ) (“Bong”) has previously announced that it has repurchased own corporate outstanding notes (with ISIN SE0016829642) on the market. In total, repurchases for a nominal amount of SEK 58 million have been made. These repurchases have been financed with a bank loan and therefore Bong now cancels the repurchased notes in accordance with the terms and conditions of the notes originally dated 8 October 2021 and as amended on 1 October 2024. Thus,Bong AB (publ) receives approval from the noteholders in the written procedure under its outstanding notes with ISIN SE0016829642
Bong AB (publ) (the “Company”) today announces that it has received a sufficient number of votes from the noteholders of its outstanding notes issued in October 2021 with ISIN SE0016829642 (the “Notes”) in the written procedure initiated on 25 September 2024 (the “Written Procedure”), and that a sufficient majority has voted in favour of the proposal in the Written Procedure to amend the terms and conditions of the Notes. Bong has entered into purchase agreements with bondholders and the repurchase will be made on October 2[nd] to the nominal amount of SEK 30 million. In total, by the 2[nd] of October repurchases will have been made to the nominal amount of SEK 58 million. Thus, the nominal outstanding amount of the senior secured notes is SEK 52 million.
