Paul C. Dunn
Paul Christopher Dunn is an associate in the Financial Services Practice Group of Pepper Hamilton LLP, resident in the Philadelphia office. Mr. Dunn has experience in all aspects of representing pooled investment funds investing in a wide variety of asset classes and their management companies, from structuring funds and drafting and negotiating legal documentation to advising clients with respect to applicable laws (including the Investment Advisers Act, other federal securities law, CFTC/NFA regulations and state corporate law). In particular, his practice has focused on the representation of privately offered hedge funds and real estate funds, and has also included registered mutual funds and futures/forex funds. He also has worked extensively representing institutional investors in negotiating investments in private funds and venture capital investments in preferred stock financings. Prior to joining Pepper, Mr. Dunn was a senior associate with the Investment Law Group of Gillett Mottern & Walker LLP in Atlanta. Before that, he was an associate with King & Spalding LLP in Atlanta, where he practiced on the private equity team in the firm's Corporate Practice Group. Associate Mr. Dunn joined ILG in December of 2008, bringing substantial experience in all aspects of representing private investment funds (including offshore and domestic hedge funds, funds-of-funds and private equity funds) and their management companies, from structuring funds and drafting and negotiating legal documentation to advising clients with respect to applicable laws (including the Investment Advisers Act, other federal securities law, and state corporate law). He has also worked extensively representing institutional investors in negotiating investments in private funds and venture capital investments in preferred stock financings. Mr. Dunn came to ILG from King & Spalding LLP, where he practiced on the private equity team in the firm's corporate practice group in Atlanta. Prior to King & Spalding, Mr. Dunn worked in the investment management and financial services practice group of Dechert LLP in the firm's New York office, primarily in the hedge fund and investment adviser context. Mr. Dunn received his Juris Doctorate (cum laude) from Case Western Reserve University School of Law in 2003 where he served as an Articles Editor on the Law Review and his Bachelor of Arts from Binghamton University (State University of New York) in 2000. Mr. Dunn was admitted to practice law in the State of New York in 2004, and was admitted to the State Bar of Georgia in 2008.

Mr. Dunn has spent his entire legal career focused exclusively on the investment management industry, with a specific focus on alternative investment funds. Mr. Dunn has extensive experience representing a wide variety of private investment funds and their management companies in fund structuring and formation matters as well as on-going legal advice with respect to corporate and securities laws. He has also represented institutional investors in connection with evaluating and negotiating investments in a wide variety investment funds, including some of the world's most prominent managers of hedge funds, private equity, venture capital, buy-out, mezzanine debt, real estate, energy and natural resource assets. Mr. Dunn has also actively represented institutional investors in connection with separately managed accounts, co-investment opportunities and venture capital investments in preferred stock financings. Prior to joining the Investment Law Group and 360° Diligence, Mr. Dunn practiced law at Dechert LLP in New York and King & Spalding LLP in Atlanta, two of the largest law firms in the world. Mr. Dunn graduated cum laude from Case Western Reserve University School of Law in 2003 where he served as an Articles Editor on the Law Review. Mr. Dunn Currently serves as a senior associate in the Private Funds Group at the Investment Law Group.
