Mr. Weschler served as a member of the Audit Committee for the fiscal year ended October 31 , 2000 and has tendered his resignation as a Trustee effective as of the date of the Meeting.The Committee recommends to the Board of Trustees what firm of independent auditors will be selected by the Board of Trustees ; ( ii ) reviews the methods , scope and result of audits and the fees charged ; and ( iii ) reviews the adequacy of the Fund's internal accounting procedures and controls.The Committee held three ( 3 ) meetings during the Fund's last fiscal year.The Fund also has a Nominating Committee , consisting of Messrs.St. Sauveur and Weschler , and Mrs. Macintosh , which nominates Trustees to fill positions on the Fund's Board of Trustees.
