  Return to IndexStephen Rosenberg, Of Counsel at PPGMS, brings with him a thriving and diverse practice in Corporate and Commercial Law.He provides counsel to both large and small clients in all areas of corporate law, from entity formation to financing and all forms of commercial transactions.He has particularly extensive experience in securities law, guiding his clients through the intricacies involved with capital formation and securities compliance.Steve has helped his clients construct investment programs for sophisticated investors in many areas, primarily asset-backed syndications involving real estate, mortgages and equipment.He also has particular experience in FERC-related matters and energy law, providing counsel for entrepreneurial clients in over 40 alternative energy projects.His accomplishments include the coordination of several national and international mergers and acquisitions.He continues to develop his network of clients in his relationship with PPGMS.

  "Sometimes, we human beings are very good at stressing what we don't have in common," said Rabbi Steven Rosenberg of McAllen's Temple Emanuel.

  Stephen Rosenberg is Co-Chairman of the firm's Corporate Department.Steve joined our firm in 1993, after 24 years as associate, partner, managing partner and counsel to Carro, Spanbock, Kaster & Cuiffo, another prominent New York City law firm.Steve is a 1964 graduate of Columbia College and received his law degree from Harvard Law School in 1967.
  
  In his more than 30 years of law practice, Steve has specialized in corporate, business and securities law and has also worked extensively in the area of entertainment law.
  
  In the corporate and business areas, Steve has extensive experience in representing public and private corporations and partnerships in all manner of transactions.He has particular expertise in working with limited partnerships, limited liability companies and other entities which serve as the vehicles for venture capital investments.Steve has also had broad experience in mergers and acquisitions, involving both public and private clients.He is experienced in all types of commercial transactions, including bank financings, licensing arrangements, and structured workouts.
  
  Steve also has acquired significant expertise in the area of energy and FERC-related matters, particularly related to independent power producers.
  
  In the securities area, Steve has participated extensively in public and private securities offerings of common stock, debt instruments and limited partnership and LLC interests, Steve specializes in innovative structures to meet his clients capital formation needs.Steve has also represented various public companies in their securities compliance work.In addition, Steve has extensive experience representing broker-dealers and investment advisors.
  
  In the field of entertainment law, Steve has represented motion picture producers and distributors, individual artists and technical personnel as well as clients in the music industry.Steve has represented several major motion picture productions and specializes in commercial transactions having intellectual properties as their foundation.
  
  Steve has written articles for a major tax publication, inasmuch as federal income taxation is an integral component of much of his activities.He has also served in various civic, community and religious organizations and has lectured in various business and securities forums.
