ROSEN , age 65 , retired in 1996 as senior partner and chairman of the real estate department of Fried , Frank , Harris , Shriver & Jacobson.At Fried , Frank , Mr. Rosen represented international , corporate and private investors , lenders , developers and tenants in a variety of real estate transactions.

After graduating from law school , Mr. Rosen joined Kaye , Scholer , Fierman , Hays & Handler where he specialized in real estate and was admitted to the partnership in 1968.Mr. Rosen has served as an independent director since 1998.He is a Class I director.The current term of office of the Class I director shall be until the 2002 annual meeting of stockholders and thereafter shall be for three years.
