   Mr. O'Rourke has over 25 years of experience running convertible departments at several large Wall Street firms. Most recently he ran the convertible department at Volpe Brown Whelan & Co. Prior to this Mr. O'Rourke ran the convertible departments at ING Furman Selz, Merrill Lynch (co-head), and Lehman Brothers. In addition to being directly involved with the issuance of numerous convertible securities during his career, some of his key achievements include:
   
   At ING Barings Furman Selz he personally negotiated the $125 Million XEL Realty convertible preferred deal, which is still the pricing benchmark (yield pickup vs premium) for REIT convertible preferreds. During his tenure at Merrill Lynch as co-head of convertible securities the capital committed to the convertible product increased from $30 Million to $1 Billion. Mr. O'Rourke was responsible for marketing and trading the first zero coupon convertible bonds (LYONS - a Merrill Lynch trademark) in the US which he helped to develop. In 1987 while stationed in London he facilitated the establishment of Merrill Lynch's European convertible securities department. Mr. O'Rourke negotiated Merrill Lynch Europes' first US dollar denominated convertible bond deal with Alza Corporation.
