Ms. Filmer, an associate in the Vancouver office, practises three main areas of law: corporate/commercial, banking and health law.
Recently, she has assisted in significant commercial transactions including the sale of shares of Vancouver-based Generation II Orthotics, Inc., an orthotic brace designer and manufacturer with international sales, to Iceland-based Ã-ssur HF, the sale of assets of local high-tech firm West Bay Semiconductor Inc. to Intel Corporation, the purchase of assets of high-tech design firm Wavemakers Inc. by Harman Industries, the sale of the shares of Canadian health food manufacturer Yves Veggie Cuisine Inc. to Hain Celestial Foods, and the sale of the shares of a B.C. and Yukon-based steel distributor from its New Zealand and Australian shareholders to a Canadian steel distributor.
Ms. Filmer has acted for the lender with respect to a number of secured financings, including a recent transaction involving a complex refinancing to a B.C.-based forestry company.She also assisted in Davis & Company's representation of the borrower with respect to the project financing of the Shaw Tower, a new office/residential tower in Vancouver.
She regularly advises clients on a variety of commercial contracts, including commercial leases, shareholders' agreements, partnership agreements, joint venture agreements, royalty and option agreements (in the mining context), and employment agreements.As a member of the Yukon bar, Ms. Filmer also carries out corporate/commercial work for Yukon based clients.
Ms. Filmer is also a member of the firm's Health law group, and as such assists major B.C. health authorities and institutions, as well as private health facilities and clinics, with their transactions and corporate governance.
Recently, Ms. Filmer worked with the Vancouver Olympic Bid team in negotiating and drafting agreements with the owners of private venues for use of their facilities for sports events during the 2010 Winter Olympics.
