William H. Clark, Jr. is a partner in the Business and Finance Department of Drinker Biddle & Reath LLP. His practice is focused on government affairs, mergers and acquisitions, securities and general business law.
Government Affairs. For a number of years, Bill has served as the draftsman for the Title 15 Task Force of the Pennsylvania Bar Association and in that capacity was the author of the 1988 Pennsylvania Business Corporation Law and the Pennsylvania Revised Uniform Limited Partnership Act. He subsequently drafted the 1990 follow-on legislation to the 1988 BCL which made insurance corporations subject to the 1988 BCL and recodified the law on credit unions. He was also the draftsman of the 1994 Limited Liability Company Act. Bill's other legislative projects have included drafting and designing the legislative strategy for the complete revision of the CPA Law enacted in 1996 and drafting the legislation that created the Pittsburgh Regional Renaissance Initiative.
Bill was appointed by the Secretary of the Commonwealth of Pennsylvania to the Corporation Bureau Advisory Committee, which was created by statute in 1990, and he was elected as its first chairman. He has also been appointed by the Governor of Pennsylvania to the Joint Committee on Documents, which publishes the Pennsylvania Code and the Pennsylvania Bulletin. In addition, he serves as a consultant to the Disciplinary Board of the Supreme Court of Pennsylvania with respect to its procedural rules.

In addition to his legislative activities, Bill has an active corporate law practice with particular emphasis on corporate governance and control issues, including providing advice related to contested transactions. His practice ranges from advising public companies to assisting entrepreneurs with the establishment of closely-held businesses and venture capital investments.
In General. Bill is the former chair of the Business Law Section of the Pennsylvania Bar Association. He is a fellow of the American Bar Foundation and a member of the American Law Institute. He is an appointed member of the Committee on Corporate Laws of the Business Law Section of the American Bar Association which is responsible for updating the Model Business Corporation Act, and is also an appointed member of a special committee of that section preparing a comprehensive revision of the Model Nonprofit Corporation Act.
