   Science-Based Industrial Park, Hsin-Chu, Taiwan, July 12, 2001 - Taiwan Semiconductor Manufacturing Company Ltd. (TSMC or the "Company") (NYSE: TSM) today announced that its Senior Vice President, General Counsel and Spokesperson, K. C. Chen, will resign at the end of the year to teach law at two of Taiwan's leading universities. After she leaves her current position at TSMC, she will continue to teach at Institute of Law for Science and Technology at National Tsing Hua University. She will also teach graduate program at College of Commerce at National Chengchi University next year.
   
   Ms. Chen will serve on a search committee that will name her successor at TSMC before the end of the year. In addition, she will serve as a consultant to TSMC and will continue to provide her expertise for the Company.

   Chen has dedicated herself to TSMC since she joined the Company in 1997. Over the past four years, she has served as our Senior Vice President and General Counsel, responsible for legal and intellectual property management. She has also served as Chairman of TSMC Education and Culture Foundation, helping to establish, plan and professionally manage the foundation. In addition, Ms. Chen has served as TSMC's Spokesperson since May, 2000."
   
   Ms. Chen has long held a deep and abiding interest in cultivating the next generation of law professionals. Earlier this year Ms. Chen published her second book on the law. "I understand that Ms. Chen wishes to devote herself to law education and pass on to the students her professional experiences of more than 30 years corporate legal practice. Although we are very sad to see Ms. Chen leave her current position, we deeply respect her decision and give her our best wishes," Dr. Chang said.

   Ms. K. C. Chen, TSMC spokesperson and senior vice president, stated that the Company's monthly sales revenue hit bottom during the months of May and June, 2001. Sales have increased steadily since then to the October 2001 mark of NT$10,338 million.

   It is expected that the fourth quarter could follow this gradually improving trend , ultimately exceeding the operational performance of the third quarter , K.C. Chen , a TSMC spokeswoman , was quoted as saying in a statement.
   
   The figures , which came out after the close of trade , were in line with TSMC Chairman Morris Chang's forecasts that sales would begin a slow climb from a bottom in June.
   
   TSMC has said fourth-quarter operating income would double from the third quarter's T$1.94 billion and net profit in the fourth quarter would more than double from the third quarter's T$1.237 billion.
   
   The company has nonetheless slashed its 2001 net profit forecast to T$11 billion from T$25.7 billion , and lowered the full-year sales estimate to T$121.9 billion from T$149 billion because of the semiconductor industry's worst-ever downturn.
