    Based on the experts it spoke to, the WSJ concluded that "it'll be tough for Charney, though not impossible, to find work at another big firm." In the comments to the WSJ post, readers were less optimistic. One described Charney as "toast" -- a sentiment apparently shared by many ATL readers we heard from, who found laughable the notion that Aaron Charney might someday return to Biglaw.

    The firm is clearly pleased to have Charney on the team. But does everyone at Clifford Chance feel the same way? The CC source who tipped us off to the news alluded to some grumbling among the rank-and-file about Charney's hiring (but didn't specify why people wouldn't want to have Charney as a colleague). As for why the firm wanted to hire Charney, this tipster suggested that Clifford Chance may want to improve its standing in the gay community, after settling a sexual orientation lawsuit brought by a gay partner in London last year.

    On Saturday at around 5 p.m., I spotted Aaron Charney in a cafe, in the bucolic town of Cold Spring, New York. I would have gone up and talked to him, but I realized who he was too late.

    He was dressed in preppy fall wear, very J. Crew, with a wool hat. He was with two friends, and he was joking with them. He looked happy.

    Well, how happy? Was it a $500,000 kind of happy, or a $2 million kind of happy?

So that's why we decided to write about the case for our column in this week's New York Observer:

That's the parlor game New York lawyers have been playing since late last month, when a settlement was reached between the white-shoe law firm and its former associate, who had sued S&C for sexual-orientation discrimination.     I had thought that these additional claims were separate and distinct from the NYC HRL [Human Rights Law] claims, as relating to the activities of S&C and Gallion in reaction to the lawsuit rather than to S&C's treatment of Charney as an employee. That is, the HRL claims related to what happened before Charney filed his original lawsuit. The intentional infliction of emotional distress claim was addressed to the tactics that S&C then used after the lawsuit was filed to try to pressure Charney to back down, and the conspiracy claim was specifically aimed at the enlistment of attorney Gallion to add to the pressure and sidetrack Grinberg from allying himself with Charney

    New York Supreme Court Justice Bernard Fried issued two rulings on April 30 in the sexual orientation discrimination litigation between gay attorney Aaron Charney and his former employer, mega-firm Sullivan & Cromwell (S&C).Fried found that S&C's arguments for dismissing Charney's lawsuit largely missed the mark, and that one of the firm's claims against Charney had to be dismissed.

    Charney, representing himself, sued S&C on January 16, claiming that he was the victim of both anti-gay bias at the firm and then retaliation when he voiced complaints.After a January 31 meeting between the two sides aimed at resolving Charney's complaint foundered, S&C fired him, charging that he had violated his fiduciary and contractual obligations and had as well stolen documents.

    Charney at that point hired lawyers to represent him and destroyed the hard-drive on his home computer containing the disputed documents rather than surrender it to S&C, as the firm had demanded at the January 31 meeting - though Charney claims one of the firm's partners said he alternatively could simply dispose of the computer.Both sides filed motions to dismiss each other's lawsuits.

    S&C claimed that Charney's complaint, which specified the work he had done for some of the firm's clients, breached legal confidentiality requirements and that litigation would inevitably lead to more such disclosures.

    Charney argued that as an "at-will" employee he was not bound by either fiduciary or contractual obligations, and that he had turned over all the documents S&C was demanding.

    Justice Fried didn't buy S&C's arguments about dismissal of Charney's case, finding no violations of client confidentiality in his complaint.He did note, however, that the complaint included a lot of irrelevant information that could pose confidentiality concerns.Fried gave Charney and his lawyers 20 days to file a new, " clean" complaint, but expressed no view on the merits of his claims.

    Regarding Charney's motion to dismiss S&C's lawsuit against him, Fried agreed that the charge he breached his fiduciary duty lacked merit."No fiduciary duties exist between an employer and an at-will employee," the judge wrote, adding later, "The duty of loyalty, however, has been limited to cases where the employee, acting as the agent of the employer, unfairly competes with his employer, diverts business opportunities to himself or others to the financial detriment of the employer, or accepts improper kickbacks."

    Fried did find that the breach of contract claim might have merit and should not be dismissed, though Charney, on the other hand, could be relieved of his signed agreement to abide by the firm's rules if S&C's office manual includes fairly standard language making clear that the rules do not constitute an enforceable contract.

    On the question of Charney having taken firm documents home with him, Fried found that even if he returned them all, as his affidavit indicated, it remains unclear whether he was wrong to have removed them in the first place.

    Fried also granted S&C's request for an order restraining Charney and those associated with him from any further disclosures such as the ones he made to the press immediately after filing his suit.

    Each side can claim at least a partial victory, but Charney is probably the winner on points, since he gets to file a new complaint, this time crafted by his employment law specialist attorneys, and he had S&C's fiduciary claims against him thrown out.

    S&C, on the other hand, has the right to pursue two of its claims against Charney and has muzzled him while litigation continues.

    A New York state judge has allowed former Sullivan & Cromwell associate Aaron Charney to replead his sexual orientation discrimination suit against the firm, finding that some of his allegations are "irrelevant" and potentially violative of disciplinary rules.

    Sullivan & Cromwell had hoped Manhattan Supreme Court Justice Bernard Fried would dismiss Charney's suit with prejudice on the grounds that his complaint disclosed client and firm confidences.But in a decision Monday striking the complaint with leave to replead, the judge said much of the allegedly secret information Charney put in his complaint had already been widely disseminated by Sullivan & Cromwell itself.

    Justice Fried also dismissed Sullivan & Cromwell's breach of fiduciary duty claim against Charney over his alleged violations of client and firm confidences, ruling that no such duty exists between a firm and an associate.However, he permitted the firm to proceed with claims against Charney for breach of contract and conversion.

    Charney's Jan. 16, 2007, complaint, filed pro se, alleges that Sullivan & Cromwell partners discriminated against him because he is gay and then retaliated after he filed an internal complaint.The complaint describes by name lawyers and clients who interacted with Charney and the client matters on which they did so.

    Sullivan & Cromwell had responded to Charney's original suit with its own Feb. 1 lawsuit, charging the associate with theft of firm documents and disclosure of confidences.The firm claims in particular that Charney stole a confidential memo on associate morale from a partner's office and leaked it to The Wall Street Journal, which published an article about the memo.

    Will Aaron Charney Get the Last Word?

    As you know, the Aaron Charney v. Sullivan & Cromwell and vice versa cases just settled with each side agreeing to drop their respective lawsuits and Charney probably getting a little bit of money. The settlement agreement will no doubt contain a confidentiality clause and a non-disparagement clause, but this may not be the last Sullivan & Cromwell hears from Charney. How so you ask? Check out the following excerpt from a post at Above the Law:

    The New York Law Journal is reporting that Aaron Charney and Sullivan & Cromwell have settled their lawsuits against each other.

    Charney had sued Sullivan & Cromwell for discrimination based on sexual orientation. Sullivan & Cromwell counter-sued for various causes of action related to, among other things, Charney apparently sending stolen confidential firm documents to the Wall Street Journal.

    "Aaron Charney and Sullivan & Cromwell have resolved their differences in connection with all pending disputes between them," the firm said through a spokesman.

    The settlement terms are confidential. Though some are predicting a big payday for Charney, I'm more skeptical of a huge payout. Sure, Charney got enough to pay his lawyers and probably be happy for a year or two. But this case is different from most employment discrimination cases in that here, Sullivan & Cromwell had a viable counter-suit against Charney. In exchange for dropping the counter-suit, Charney likely had to give up a decent portion of any settlement. Also likely knocking the settlement down was the court's recent dismissal of Charney's Intentional Infliction of Emotional Distress and Conspiracy claims. Plus, Charney had a lot of hungry lawyer mouths to feed.

    The question remains, how long before a certain someone mysteriously leaks the confidential settlement agreement to the Wall Street Journal?

    Aaron Charney: A New Hope?

    The Legal Blog Watch wonders if this settlement in the U.K. is "good news" for Aaron Charney (below).

    A former partner at Clifford Chance's U.K. office who sued the firm for sexual orientation discrimination recently settled his case for an undisclosed sum.

    Er. O.K. So some dude in the U.K. settled a lawsuit for an undisclosed sum. How is that good news for Aaron Charney? Is that something measly like 60K-100K (not so much after attorney fees and costs are taken into consideration) or something more substantial - like in the high six figures or more?

    Charney 2 Unlike the Legal Blog Watch, I don't get how a gay partner dude in the U.K. settling his sexual orientation discrimination claim has much to do with Aaron Charney's discrimination claim against Sullivan and Cromwell.

    Okay. We have carefully read this morning's coverage of the lawsuit by the New York Times, the New York Law Journal, and the Times of London -- so you don't have to. We've located the highlights, the juiciest details, and the money quotes.

    The most notable news, as reported in the NYT and the NYLJ, is that Charney has been barred from the Sullivan & Cromwell offices while an internal investigation is underway. Considering the weirdness and tension that would have resulted otherwise, both Charney and the S&C partners are probably happy about his absence.

    Based on the experts it spoke to, the WSJ concluded that "it'll be tough for Charney, though not impossible, to find work at another big firm." In the comments to the WSJ post, readers were less optimistic. One described Charney as "toast" -- a sentiment apparently shared by many ATL readers we heard from, who found laughable the notion that Aaron Charney might someday return to Biglaw.

    If you were one of those who doubted that Aaron Charney could return to a large law firm, it's time for you to eat one of these. Next month, Charney will be joining Clifford Chance, in the Magic Circle firm's New York office.

The CC source who tipped us off to the news alluded to some grumbling among the rank-and-file about Charney's hiring (but didn't specify why people wouldn't want to have Charney as a colleague). As for why the firm wanted to hire Charney, this tipster suggested that Clifford Chance may want to improve its standing in the gay community, after settling a sexual orientation lawsuit brought by a gay partner in London last year.
