Powell for election as directors to serve for a three-year term or until their earlier death, resignation, retirement, removal, or disqualification or until their successors are elected and qualified; and (ii) Charles T. Canaday, Jr. for election as a director to serve for a one-year term to fulfill the unexpired term of Randolph J. Cary, Jr. or until his earlier death, resignation, retirement, removal, or disqualification or until his successor is elected and qualified.
