    The U.S. Court of Appeals for the D.C. Circuit reversed a lower court decision and found on June 27 that a reasonable jury could conclude that attorney Stephen I. Burr and other defendants misled the buyer, Media General, about a pending $6 million claim against his client, Park Communications.

    The court determined that a jury could find that Burr, a partner with Eckert Seamans Cherin & Mellot at the time, and two of Park Communication's executives made misleading omissions and misrepresentations under federal securities law.

    The decision in Media General v. Tomlin, No. 07-7137, overturned a district court's ruling that granted summary judgment to Burr and the other defendants.

    The decision stems from Media General's purchase of Park Communications for $710 million in 1996.At the time of the purchase, Media General did not know that one of Park's former vice presidents had threatened to sue Park for $6 million in a wrongful discharge action unless he received $139,000 in severance pay.

    According to the decision, the defendants repeatedly stated that they knew of no lawsuits pending or threatened against the company and that its potential liability to the former vice president was only $139,000.

    Following the deal's closing, Media General settled with the former employee and incurred what it claimed were $241,541 in settlement and attorney fees.

    Although the appeals court in the June 27 decision threw out the lower court's summary judgment ruling in favor of Burr and the other defendants, it rejected Media General's damages claim for $10 million above the cost of litigating the employee's lawsuit.
