   Andrew R. Brownstein has been a prominent member of the Corporate Department at Wachtell, Lipton, Rosen & Katz since becoming a partner in 1985.As a result of his broad experience in mergers and acquisitions and corporate governance matters, he has been engaged in many high-profile matters that include cross-border transactions, leveraged buyouts, complex restructuring deals, proxy fights and takeover defense work.
   
   Mr. Brownstein is a graduate of the University of Pennsylvania (B.S., B.A., 1975) and the Wharton School of Finance (M.B.A., 1976).He earned a J.D. degree in 1979 from Harvard Law School, where he was an Articles Editor of the Harvard Law Review.Prior to joining the Firm in 1980, Mr. Brownstein was law clerk to the Honorable Leonard I. Garth, United States Court of Appeals for the Third Circuit.

   Mr. Brownstein serves on the executive planning committee, and is a past Chairman of the annual Ray Garrett Jr. Corporate and Securities Law Institute at Northwestern University School of Law.He also has taught securities law as an adjunct professor at Rutgers University School of Law and is Chairman of the M&A Lawyers Institute held annually in New York City.He is a frequent contributor to legal journals on corporate-related topics.He is active in numerous civic and charitable organizations and is president of the Board of Trustees of the Trinity School in New York City and a member of the Board of Directors of the New York City Public Art Fund.
