   It is agreed that APH will take over FLS Industries A/S' 65 per cent shareholding in Unicon Beton. APH will then be 100 per cent in control of Dansk Eternit Holding and Unicon Beton and 50 per cent in control of Aalborg Portland. - to acquire Team Aer Lingus. The negotiations are expected to be finalised within short time and the actual take-over is planned to take place by the end of 1998. - to sell RM Industrial Group, prob ably during the coming months. - to put Aalborg Portland Holding's 35 per cent shareholding in NKT up for sale, when optimum terms and conditions are obtainable. Moreover, a few minor undertakings, notably within the packaging industry, have already been sold in 1998. Having completed these transactions, the FLS Group will consist of the following five key undertakings: - F.L.Smidth-Fuller Engineering (FFE) (Ownership: 100 per cent) - FLS miljø (Ownership: 100 per cent) - Aalborg Portland Holding (Ownership: 70 per cent) - DanTransport Holding (Ownership: 100 per cent) - FLS Aerospace Holding (Ownership: 100 per cent) and the associated company: - Secil, Portugal (Ownership: 22 per cent) plus a few minor wholly or partly owned companies. The market position of the five key undertakings is briefly outlined in the following: - F.L.Smidth-Fuller Engineering: The company is the world's largest supplier to the cement industry and has a market share in excess of 50 per cent. In the minerals processing sector, the company is among the world's two largest suppliers to the markets served. - FLS miljø: The company is among the world's leading providers of flue gas cleaning systems for power stations, etc. and is also an international supplier of complete waste incineration facilities and biomass-fired power stations as well as boilers for power stations using traditional fuels. - Aalborg Portland Holding: Unicon Beton is Denmark's leading concrete producer.

   Effective 1 January 2000, Peter Assam, 46, who has been Chief Executive Officer of Unicon Beton since 1 March 1994, will take over the position as President and CEO of Aalborg Portland Holding with overall responsibility for the FLS Group's building material interests.
