Jim Ball is a corporate partner in the New York office of Milbank, Tweed, Hadley & McCloy LLP.He has also resided in the Hong Kong and Singapore offices.
Mr. Ball has extensive experience in international and domestic offerings of various types of securities, including equity, American Depositary Receipts, Rule 144A/Regulation S securities and high yield debt.Mr. Ball also has significant experience in international and domestic financial transactions, including acquisitions and joint ventures, secured and unsecured lending, transportation finance, telecom and satellite finance, utility financings, project finance, restructurings and leveraged buyouts.
Mr. Ball represented Nippon Telegraph and Telephone Corporation, the world's largest company based on share capital, in its securities offerings and SEC reporting requirements, and in connection with the issuance by NTT DoCoMo of common stock in one of the largest IPO's ever.Mr. Ball also acted as underwriters counsel for Goldman Sachs, Merrill Lynch, Morgan Stanley and JP Morgan with respect to the offerings by Iridium, a global satellite phone company, of over US$2 billion in common stock and bonds.
Mr. Ball recently represented Morgan Stanley and Merrill Lynch in a registered offering of ADRs by HDFC Bank, one of the largest Indian private banks, with a listing on the NYSE.He also recently represented Merrill Lynch in connection with a Rule 144A private placement in the United States by Bank Central Asia, one of the largest banks in Indonesia.
Mr. Ball represented Scottish Power plc in it acquisition of PacificCorp in one of the largest cross-border energy sector acquisitions ever.He recently represented Merrill Lynch as financial advisor to United Overseas Bank in its US$5.5 billion acquisition of Overseas Union Bank and JP Morgan in connection with the financing for the acquisition.
Mr. Ball has been published in various publications and has contributed to the Fordham International Law Journal.
Mr. Ball received his B.A. cum laude from Southern Methodist University and his J.D. from Vanderbilt Law School, where he was an Associate Editor of the Vanderbilt Law Review.He is a member of the American Bar Association and the New York State Bar Association.
