All of the Directors attended at least 75% of the aggregate number of meetings of the Board and Committees on which each served, except for William F. Aldinger III, who was appointed a Director in November in connection with the acquisition of AT&T Corp. and was unable to attend the only remaining Board meeting of the year because of a scheduling conflict.

(a financial services company), Prospect Heights, Illinois, from January 2004 until April 2005.He also served as Chairman from 1996 and Chief Executive Officer from 1994 of HSBC Finance Corporation (formerly Household International, Inc.) until April 2005.Mr. Aldinger was elected a Director of AT&T Inc. in November 2005.He served as a Director of AT&T Corp. from 2003 until the company was acquired by AT&T Inc. in November 2005.Mr. Aldinger is a member of the Audit Committee and the Finance/Pension Committee.He is a Director of Illinois Tool Works Inc.; KKR Financial Corp.; Charles Schwab Corporation; and MasterCard International.
