Philip P. Adler is an associate in the Corporate and Securities Group.

Earlier in his career he was a corporate associate at two major Chicago-based law firms, and prior to pursuing a legal career, he was an associate at Coopers & Lybrand in their Business Consulting Group (1989 to 1992).

Mr. Adler has a wide range of experience in securities, mergers and acquisitions, and venture capital transactions.This includes advising clients with regards to compliance with The Securities Act of 1933 and the Exchange Act of 1934 and preparing associated filling documents, negotiating and documenting the sale and acquisition of debt and equity (both preferred and common), negotiating and documenting private investment in public equity transactions (PIPE's), negotiating and drafting public and private merger agreements and stock and asset acquisition agreements, and assisting in the structuring of investment vehicles for startup entities seeking initial and interim financing.

Mr. Adler received his undergraduate degree (B.A., Economics and Mathematics honors, cum laude, 1989) from Claremont McKenna College and his law degree (J.D., 1995) from the University of Pennsylvania Law School.He is admitted to practice in Illinois.
