Ms. Abbott represented General Motors Corporation in the proposed spin-off of Hughes Electronics from GM and its subsequent merger with EchoStar Communications, a transaction valued at $26 billion, which was terminated by mutual agreement of the parties in December 2002.She also represented General Motors in the exchange offer of $9 billion of Class H common stock for $1-2/3 par value common stock in 2000 and the 1997 $27 billion restructuring of its Hughes Electronics subsidiary (including the spin-off of Hughes Defense followed by its merger with Raytheon).In addition, she has represented private equity investors in a range of transactions, including a $121 million private stock sale transaction and a $110 million acquisition involving a recapitalization, reorganization and asset purchase.
Before joining Jenner & Block in early 2003, she was a partner in Kirkland & Ellis' Corporate Department.
