"It's significantly different," says John Rogers, a New York-based private equity partner with the law firm Pepper Hamilton LLP.
He attributes the gap to the fact that the companies are smaller, often not marketed well. However, independent sponsors can have an advantage in developing trust with lower middle market sellers, says Rogers. Rogers described a typical target as a family-owned business, run by a founder often in his or her late 60s or early 70s, who doesn't have any children interested in the business. The current management team wants to grow the business but needs more capital. They don't have any equity participation in the business and don't have the wherewithal to effect to a traditional management buyout. Independent sponsors understand how to play well with family business and interpersonal dynamics. In addition, most lower middle market acquisitions involve some level of rollover equity. "The seller is looking at that piece of rollover as the highest yielding portion of his investment portfolio," Rogers said. Consequently, these types of sellers want a buyer that is going to be "a good custodian of the business," Rogers explained. Some people don't really see where their path to elevation is," Rogers said.
