Preston is a partner resident in the Orange County office where he serves as Chair of the Corporate Practice Group.He practices in the areas of corporate, securities, mergers and acquisitions, general business and contract law.He has represented clients in a broad range of industry segments including internet/e-commerce, technology, healthcare, real estate development, manufacturing, retail and financial services.Mr. Preston's areas of practice have emphasized public and private company representation, corporate finance transactions including start-up company formations, venture capital transactions, initial public offerings, mergers and acquisitions, and corporate partnering transactions.His representation of clients also includes tender offers, hostile takeover defenses, going private transactions, spin-off and other corporate divestiture transactions, proxy solicitations, project financings and numerous other corporate and securities law matters.Mr. Preston received his LL.M. in Corporate and Securities Law from New York University in 1983, his J.D. degree, cum laude, from Southwestern University, in 1982, and his B.A. in History from Colgate University in 1977.He is a member of the Business Law Section of the California State Bar, the American Bar Association, and the Orange County Bar Association.
