General Counsel Services One approach that Mr. Kazarian has successfully implemented is that of outsourcing general counsel services for several of the firm's business entity clients.
As an example, for a Chicago area company, Mr. Kazarian
is "on call" to assist the company and provide legal advice on operations and management issues including employment law, employee disputes, protection of intellectual property and assets, contract review, real estate and creditor/lender issues.
...As an example, Mr. Kazarian represented a group of shareholders who suspected that the president of a company, who was also one of two directors and a 40% shareholder, had engaged in self-dealing and had absconded with corporate assets.Using a Chancery proceeding, Mr. Kazarian was able to remove the company president from his position and secure control of the company, which included the return of the other directors' equity interests.
Intellectual Property Protection Mr. Kazarian
has been very aggressive and successful in protecting his
clients' intellectual property.As an example, Mr. Kazarian
represented an employer faced with the mass defection of ten employees from a single division of a company.Mr. Kazarian
was able to seek court relief and allow the employer to "freeze" his
former employees' ability to raid customers or vendors.Mr. Kazarian
also worked with the client to develop and implement an effective transition plan.In another case, he
represented a direct mail company confronted with the departure of an employee who took a copy of the company's top client list.Mr. Kazarian
was able to secure a one year nonsolicitation agreement enabling the client company to preserve their customer base.
With regard to employment matters, Mr. Kazarian
has handled a variety of employment and civil rights matters ranging from defense of wrongful termination claims to investigation of employee theft issues and management of the related discharge.He
has also conducted numerous seminars and workshops for clients seeking to educate their managers, supervisors and employees on particular issues such as employee confidentiality and harassment.
Real Estate Disputes
Should a dispute arise involving real estate, Mr. Kazarian
has extensive experience in this area as well.He
has represented various lenders in commercial and residential foreclosure matters.He
has also represented property owners and commercial tenants in connection with landlord-tenant disputes, as well as purchase, sale or lease contract issues.
Creditor Rights Protection Mr. Kazarian
also has substantial experience in assisting businesses and individuals in the enforcement and protection of their rights as creditors.These cases range from complex bankruptcy preference actions and commercial mortgage foreclosures to collection matters involving the enforcement of contractual rights and the pursuit of guarantors.He
has litigated these matters in federal and state courts including bankruptcy courts.
Professional ActivitiesMr. Kazarian is a member of the Chicago Bar Association, the Illinois State Bar Association and a former member of the Lincoln American Inn of Court.He also serves on the University of Illinois College of Law Recent Alumni Advisory Board and the University's Student Leadership Advisory Board.He is active in the Delta Tau Delta International Fraternity and is a former national board member.Mr. Kazarian
