Dennis Unkovic
Dennis Unkovic is a partner with Meyer, Unkovic & Scott LLP. He is an international transactional lawyer who is actively involved in negotiating complex commercial transactions such as inbound and outbound foreign direct investment (FDI) projects; both domestic and international mergers and acquisitions (M&A); corporate restructuring and planning; technology transfer, licensing and intellectual property; and creating strategic alliances and joint ventures (J/Vs). Mr. Unkovic works closely with U.S. companies as well as foreign multinationals on their global activities and investments. He has traveled to 51 countries during the last thirty years, with significant involvement in transactions in China, India, Japan, Korea, Southeast Asia, Europe, and Australia. His corporate practice focuses on five key areas:
Foreign Direct Investment (FDI)
Mr. Unkovic has over thirty years of experience in negotiating, structuring and implementing foreign direct investment (FDI) projects and transactions on behalf of multinational corporations and individuals. His FDI activities include setting up foreign subsidiaries and international branches, purchasing foreign companies and their assets, handling M&A transactions, and transferring technology and intellectual property. Recently he has acted on behalf of non-U.S. multinationals and investment funds seeking to acquire companies in the United States and North America that are engaged in manufacturing, distribution, energy production, engineering, and high technology ventures, including medical equipment and devices.
International Mergers and Acquisitions (M&A)
Mr. Unkovic has handled numerous M&A transactions on behalf of buyers and sellers since 1982; some U.S.-based companies and others non-U.S. based.
Mr. Unkovic advises companies and their boards of directors on how to restructure their existing operations and corporate governance procedures in order to increase productivity and efficiency. Over the years he has worked with companies in the United States, Europe and throughout Asia.
Technology Transfer, Licensing and Intellectual Property
Increasingly today, technology is critical to the survival of most companies around the world. Mr. Unkovic has been involved in the licensing, sale, valuation and protection of technology for many years. For example, his The Trade Secrets Handbook (Prentice-Hall, Inc., Englewood Cliffs, NJ) was initially published in English and subsequently translated into Japanese, Chinese and Serbo-Croatian. He believes all companies need to pay greater attention to protecting all of their intellectual property assets, not just patents.
Joint Ventures and Strategic Alliances
When faced with stiff international competition, companies often decide to form either a joint venture or a strategic alliance with a foreign partner. This is a complex area which requires close attention. Mr. Unkovic has negotiated or worked on joint ventures and consortiums in Japan, Singapore, Australia, China, Germany, Italy, Brazil and other countries.
Mr. Unkovic is also frequently invited to speak to business executives, trade associations, and government and academic leaders on high profile international issues and developments. Since 1982, he has given numerous presentations in the United States, the People's Republic of China, Japan, India, Korea, Singapore, Malaysia, Thailand, Taiwan, Hong Kong SAR, the Philippines, New Zealand, Germany, Portugal, the former Yugoslavia, Cyprus, Slovenia, Croatia, Sweden, Mexico, Serbia, Switzerland, Italy, Australia, Macedonia, Spain, France, Austria, Greece, Sri Lanka, Chile, the United Kingdom, Finland, Ireland, Canada, Puerto Rico and the Bahamas. A prolific writer, he has authored seven books, edited and contributed to four other books, and written over 165 articles that have appeared in domestic and international publications. The Trade Secrets Handbook was published in English, Japanese, Chinese, and Serbo-Croatian, and two other books were published in Japanese. In 2009, he published The Art of Investing in America: Secrets to Success in English and Chinese, which targets Chinese companies looking to invest in the United States and elsewhere. He was asked by the American Bar Association to author Understanding Asia: Winning Strategies for Business Success, which was published in late 2011. A recent project was editing the third edition of Successful Strategies for Doing Business in Asia, a collection of individual pieces from twelve countries compiled by Meritas®; Law Firms Worldwide and published in April 2013.

Mr. Unkovic serves on the Board of Meritas, a global alliance of law firms committed to rigorous quality standards for its members. He has been named to each edition of The Best Lawyers in America since 2001. He is affiliated with numerous courts, professional organizations, and domestic and international arbitration tribunals. Mr. Unkovic earned his B.A. with distinction from the University of Virginia and received his J.D. from the University of Pittsburgh School of Law.
