Ms. Soukup ’s law practice focuses on complex financing transactions, including asset-backed securities, secured lending, public and private offering of debt securities and insolvency-related matters. She is the Washington, D.C. office practice leader for the firm’s finance group and co-leader of the firm’s structured finance practice team.Ms. Soukup represents issuers, credit enhancers, and other market participants in securitizing many types of assets, including consumer receivables, mortgage loans, future cash flows and interests in other securitizations, often in first-of-their-kind transactions. Her work with asset-backed securities involves both financial institutions and corporate issuers. She is also frequently involved in structuring commercial loans and other financing transactions and in restructurings of secured financings.Ms. Soukup currently is the vice-chair of the ABA Business Law Section’s Commercial Financial Services Committee, and a member of the Drafting Committee that prepared the Section’s May 2004 comment letter to FASB on legal isolation issues, the Section’s Working Group on SEC Asset Backed Securities Proposal and the Section’s Task Force on Deposit Account Control Agreements. Ms. Soukup has also served as chair of the Section’s Investment Securities Subcommittee, dealing with issues that affect financing transactions, including investment securities as collateral and mezzanine financing of real estate.A well-known speaker and author on secured transactions, Ms. Soukup is a nationally recognized authority on the Uniform Commercial Code’s impact on financing transactions and legal opinions. She has presented many programs for the American Bar Association and ALI-ABA on secured transactions and related legal opinion issues. She also has written and spoken on securitization transactions, financing intellectual property and government receivables, personal property security interest issues implicated in workout transactions, and insolvency issues affecting technology transactions.Among her many accomplishments, Ms. Soukup has been selected for inclusion in the 2006 and 2007 editions of The Best Lawyers in America (http://www.bestlawyers.com), serves on the Board of Regents of the American College of Commercial Finance Lawyers and is a member of the American Law Institute.
