A majority of our Board members are independent of the Company and its management, as are all of the members of our Board committees;
The independent members of the Board meet regularly without the presence of management;
The Board has established term and age limits for service on the Board;
KPMG LLP, our independent auditor, reports directly to the Audit Committee;
The Audit Committee has implemented policies that are consistent with corporate reform laws for auditor independence;
The charters of each of our Board committees clearly establish their respective roles and responsibilities;
The Company has a Code of Conduct (including ethics requirements), and an insider trading policy, to which our directors, officers and employees must adhere; and
We have implemented a hotline available for employees to anonymously report any questionable practices, actions or activities at the company.
